Terms & Conditions

These Terms & Conditions apply to the NTX Automation Co. website, consultations, proposals, website projects, recurring services, automation systems, and SMS communications. By using our website or purchasing services, you agree to these Terms. Paid work may also require a proposal, statement of work, order form, or Client Services Agreement. If a signed agreement conflicts with these general Terms, the signed agreement controls for that project.

Our Services

NTX Automation Co. provides digital services for local businesses. Depending on the package or written scope selected, services may include:

• Website design and development
• Website hosting, monitoring, maintenance, backups, and minor content updates
• Local search optimization and search-performance monitoring
• Professional photography or video coordinated directly or through third-party professionals
• AI-powered customer communication, intake, lead follow-up, and business automation
• Booking, calendar, CRM, webhook, messaging, or other third-party integrations

The exact deliverables, exclusions, price, schedule, revision allowance, and recurring services for a client project are defined in the applicable written proposal or agreement.

Quotes, Scope, and Change Requests

Quotes are based on the information available when they are prepared and remain subject to the expiration date stated in the quote. Work outside the agreed scope—including additional pages, new features, new integrations, major design changes, added locations, additional phone numbers, dashboards, or expanded workflows—requires written approval and may require additional fees or time.

Informal discussions, ideas, or examples are not included deliverables unless they appear in the written scope. NTX Automation Co. will not begin material out-of-scope work until the change is approved by both parties.

Payments and Deposits

Unless a written proposal states otherwise, one-time projects require a 50% deposit before work begins and the remaining 50% before launch, transfer, publication, or final delivery. A project is not placed on the production schedule until the required deposit is received.

Deposits reserve production time and cover planning and work performed. Once work begins, deposits are nonrefundable except where NTX Automation Co. cancels the project without client breach and has not earned the applicable portion through completed work. The client remains responsible for approved work completed beyond the deposit. Final files, administrative access, ownership rights, and launch may be withheld until all amounts then due are paid.

Recurring services are billed in advance on the schedule shown in the applicable agreement or invoice. NTX Automation Co. does not currently impose a standard late fee, but service may be paused for overdue balances after reasonable notice.

Revisions and Approval

Unless the written scope states otherwise, website projects include two reasonable revision rounds within the original scope. A revision round means one consolidated set of client feedback. Unused revision rounds have no cash value and do not carry over to unrelated work.

New concepts, major direction changes, additional deliverables, or requests made after approval may be treated as change requests and quoted separately. Client approval by email, electronic signature, project platform, or other written method authorizes NTX Automation Co. to proceed to the next phase or launch.

Client Responsibilities and Project Delays

Clients are responsible for providing accurate business information, content, photos, branding, account access, legal disclosures, approvals, and feedback reasonably needed to complete the work. Clients must have permission to use all materials they provide.

Timelines depend on timely client participation and third-party availability. Delayed content, access, approvals, or feedback may extend delivery dates and move the project behind other scheduled work. If a project remains inactive because of the client for 30 consecutive days, NTX Automation Co. may pause or close the project and require a new schedule or revised quote before resuming.

Cancellation and Refunds

Either party may cancel a project by written notice. If the client cancels after work begins, the deposit remains nonrefundable and the client must pay for approved work and noncancelable third-party costs incurred through the cancellation date. NTX Automation Co. will provide completed, paid-for deliverables in their then-current condition when reasonably practical.

If NTX Automation Co. cancels a project without client breach, NTX Automation Co. will refund prepaid amounts not earned through completed work or committed third-party costs. Payments for completed, delivered, or approved work are nonrefundable.

Recurring Services and Cancellation

Website Care, Local SEO, Complete Care, AI assistant hosting, monitoring, maintenance, and similar recurring services continue for each paid billing period until canceled under the applicable agreement. Unless a written agreement states otherwise, clients may cancel before the next renewal date to prevent the next charge. Fees already paid for the current billing period are not prorated or refunded.

At the end of the paid period, NTX Automation Co. may stop the canceled services. If NTX Automation Co. hosts or operates the applicable website, automation, phone number, workflow, dashboard, or integration, the service may become unavailable unless the client arranges and pays for an available migration or replacement. Outstanding balances and third-party obligations remain due after cancellation.

Domains, Hosting, and Third-Party Services

Clients should purchase and maintain their domain names in accounts they own. Domain registration, hosting, phone numbers, carrier fees, A2P registration, messaging usage, booking platforms, CRM subscriptions, paid plugins, stock assets, and other third-party products are separate costs unless expressly included in writing.

Third-party services are governed by their own terms, pricing, availability, approval processes, and technical limitations. NTX Automation Co. is not responsible for a third party's price changes, suspension, rejection, outage, data loss, policy change, or discontinued feature. Integration work may require adjustment if a third party changes its service or access requirements.

Search Optimization

Search optimization improves a website's structure, content, indexing, and local-search signals, but search engines control their own rankings. NTX Automation Co. does not guarantee a particular ranking, traffic level, number of leads, revenue result, or continued placement. Results depend on competition, business history, client participation, platform changes, and other factors outside our control.

AI and Automation Services

AI-generated responses and automated workflows may occasionally be incomplete, inaccurate, delayed, or require human review. Clients are responsible for reviewing business rules, escalation paths, service information, pricing, availability, and other operational content supplied to the system. Automation is not a substitute for professional legal, medical, financial, emergency, or other regulated advice.

Monthly service is required to keep hosted AI and automation systems monitored, maintained, and operational. Usage allowances, messaging costs, supported integrations, and custom requirements are defined in the applicable package or agreement.

Ownership and Licenses

After full payment, the client owns the final custom website content and deliverables specifically identified for transfer in the written agreement. NTX Automation Co. retains ownership of its preexisting materials, reusable code, libraries, components, templates, automation methods, internal tools, know-how, and processes. NTX Automation Co. grants the client the rights reasonably necessary to use those retained elements as incorporated into the paid final deliverable.

Third-party software, fonts, photographs, plugins, platforms, and stock assets remain subject to their original licenses. Until full payment is received, all work product remains owned or controlled by NTX Automation Co.

Portfolio Rights

Unless the client opts out in writing before public display, NTX Automation Co. may identify the client and display nonconfidential completed work in its portfolio, website, social media, proposals, and sales materials. NTX Automation Co. will not knowingly publish confidential credentials, private customer data, or nonpublic business information.

Client Content and Legal Compliance

The client is responsible for the accuracy, legality, accessibility, and required disclosures associated with its business, products, claims, promotions, privacy practices, and supplied content. NTX Automation Co. may refuse content or requested functionality that appears unlawful, deceptive, infringing, abusive, or inconsistent with third-party platform requirements.

SMS Terms

Program / Business Name: NTX Automation Co / NTX AI Intake Demo

NTX Automation Co operates conversational SMS programs. The primary registered program is the NTX AI Intake Demo, which allows prospective customers to voluntarily experience our AI-powered intake assistant by texting the keyword DEMO to our published demo number. No messages are sent until the user initiates the conversation.

NTX Automation Co may also send service-related conversational SMS messages where the individual has provided consent through an applicable opt-in method. All messages are related to the service or demonstration the user requested. We do not send unsolicited marketing messages.

Types of messages users may receive include:

• Opt-in confirmation for the NTX AI Intake Demo
• Interactive AI-generated intake questions and responses during the demo
• Demonstration of lead qualification and follow-up behavior
• Service-related responses to direct inquiries
• Appointment confirmations or scheduling assistance

SMS consent collected for the NTX AI Intake Demo applies solely to NTX Automation Co. It is not transferred to any NTX Automation Co client business. No mobile opt-in data, phone numbers, or messaging consent is sold, rented, or shared with third parties for marketing purposes.

Acceptable Use

When using our website, demonstrations, or services, you agree not to:

• Use the service for an unlawful, deceptive, or abusive purpose
• Interfere with, probe, overload, or attempt to disrupt the system
• Provide false, infringing, or misleading information or content
• Use our communications, systems, or deliverables to harass or harm others

Service Availability and Limited Warranty

We make reasonable efforts to provide reliable, professional services but do not guarantee uninterrupted or error-free operation. Temporary downtime may result from maintenance, technical issues, carriers, hosting providers, integrations, security events, or circumstances outside our control.

Unless a signed agreement provides a different support period, the client must report a material defect that causes the delivered work not to match the approved written scope within 14 days after launch or delivery. This limited correction period does not cover new requests, client changes, third-party changes, misuse, or problems caused by content or access supplied by the client.

Limitation of Liability

To the fullest extent permitted by law, NTX Automation Co. is not liable for indirect, incidental, special, exemplary, or consequential damages; lost profits; lost opportunities; lost data; delayed or undelivered messages; third-party platform failures; or business interruption arising from the website or services.

To the fullest extent permitted by law, NTX Automation Co.'s total liability arising from a specific paid service will not exceed the amount the client paid NTX Automation Co. for that service during the six months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be limited.

Confidentiality

Each party will use reasonable care to protect nonpublic business information, credentials, and customer information received from the other party and will use that information only to perform or receive the agreed services. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless a signed agreement states otherwise, disputes relating to these Terms or NTX Automation Co. services will be brought in a court of competent jurisdiction serving Denton County, Texas.

Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Changes do not retroactively alter a signed client agreement unless both parties agree in writing.
